Conditions to be met;
Enterprises outside China shall meet the following requirements in order to set up a resident representative office;
1. Enterprises outside China shall be legitimately registered in their country or region;
2. The enterprise must have a good business reputation;
3. The enterprise has a fixed abode for operation in Xiamen;
4. The enterprise has a number of employees who can remain in Xiamen for long-term duty;
5. Documents provided by such enterprise shall be authentic and reliable.
Application Procedure:
Enterprises outside China shall entrust certified consulting companies to handle the procedures for the establishment of a resident representative office. The entrusted consulting company shall present a letter of attorney with the seal of the entrusting enterprise and an elaboration on the basic information of the entrusting enterprise as well as its business links with domestic enterprises. The application to establish a representative office will be initially examined and then reexamined. After the initial examination by the FIB, the applicant may start renting offices and recruiting Chinese employees. Meanwhile they should file for the establishment of a representative office by submitting the following documents for reexamination:
1. Documents for initial examination (1 copy each, completion within 2 working days excluding the time required for representative office landsite approval by Foreign-related Construction Management Office):
A. Application report signed by the chairman of the Board or the general manager and affixed with the seal of the company;
B. Legitimate business license issued by pertinent authorities of the host country where the company resides;
C. Balance sheet of the previous year produced by an accounting firm maintaining business relations with the company;
D. Financial standing certificate produced by a financial institution maintaining business relations with the company;
E. Certificate for the premise (e.g. lease contract);
F. Other supplementary documents deemed necessary by the examination and approval authority
2. Documents for re-examination (in triplicate, completion within 5 working days):
A. Fill out the Application Form for Establishing Resident Representative Office of Foreign Enterprises and the Registration Form for Representative Office Staff of Foreign Enterprises;
B. Documents as required in Item 1 to 4 in the initial examination process;
C. Letter of Attorney signed by the chairman of the Board or the general manager and affixed with the company seal for the appointment of the chief representative, his/her resume and personal identification;
D. Certificate for the premise (e.g. lease contract, Certificate of Property Right)
E. Procedures for recruiting domestic employees as stipulated by foreign affairs authority. |
